Secret Vault provides, markets and sells , a mobile and desktop security software program to individuals, municipalities, educational institutions, financial institutions and general businesses. Secret Vault allows end users to enter, store, secure, backup, share and restore confidential and sensitive "micro-data" and "files" on computers and mobile devices for the purpose of protecting this information from the public. Micro-data is a term that applies to short strings of data that are critical to end users (e.g. website logins, passwords, social security numbers, bank account numbers, access codes, pin codes and private notes). Files may include private documents, personal photos and videos.
Copyright, Patent and Trademark Information
Secret Vault, and the information which it contains, is the property of
Secret Vault and is protected from unauthorized copying and dissemination
by United States copyright law, trademark law, international conventions
and other intellectual property laws. By way of example only, and not as a
limitation, " Secret Vault ", "Password Keeper" and the Secret Vault logos
are registered trademarks of Secret Vault Security, under the applicable
laws of the United States and/or other countries. Apple, the Apple logo and
Mac are trademarks of Apple Inc., registered in the U.S. and other
countries. App Store is a service mark of Apple Inc. Google Play is a
trademark of Google Inc. Amazon Web Services, and the "Powered by Amazon
Web Services" logo are trademarks of Amazon.com, Inc. or its affiliates in
the United States and/or other countries. Other Software or service names
or logos appearing in the Software are either trademarks or registered
trademarks of Secret Vault, and/or their respective owners. The absence of
a Software or service name or logo from this list does not constitute a
waiver of Secret Vault’s trademark or other intellectual property rights
concerning that name or logo.
Responsibilities & Restrictions
Secret Vault software is used by millions of people globally to protect and
store their passwords and private information. The Software may only be
used for lawful purposes and as accordingly, you agree to not misuse Secret
Vault. When using the Software, you agree:
Not to upload, post, email or transmit otherwise any material that contains software viruses, trojan horses, worms, files or programs intended to interrupt, destroy, deface or limit the use, access or functionality of the Software.
Not to upload, post, email or transmit otherwise any material that is illegal, pornographic, abusive or obscene.
Not to upload, post, email or transmit otherwise any material that violates the privacy or intellectual property rights of others.
Not to "Reverse Engineer", change, modify, hack, translate, copy, distribute, pledge, assign, transfer, make derivative works, exploit, encumber or crack any portion of the Software.
Unless you are an authorized reseller of the Software, you may not display, copy, reproduce, license or distribute the Software, any component thereof, any documentation provided in connection with the Software, or any content, including but not limited to newsletters distributed to you by Secret Vault in connection with the Software.
Secret Vault, in its sole discretion, may remove content and block user access to any content that it determines to be illegal, threatening, pornographic, abusive, obscene or in violation of another party's intellectual property.
Violation of these responsibilities and restrictions may result in the termination of this Agreement.
Age of Use
The Software is available only to persons who can form legally binding
contracts under applicable law. Without limiting the foregoing, the
Software is not available to individuals under the age of 18. By using the
Software, you represent that you are over the age of 18. If you do not
qualify, you are not permitted to use the Software. If you are using Secret
Vault in your capacity as an employee under an administered program, you
must have authorization to use the Software by your administrator.
Periodically, you may provide Secret Vault support staff with remote access to view your computer screen only for the purpose of troubleshooting issues that arise in your use of your Software. You hereby waive any claim for damages from any problems that may arise from such access, including without limitation any disruption or damage caused by Secret Vault or its personnel.
Subscription Fees, Payment Terms and Refund Policy
Subscription Fees. The fees charged by Secret Vault are referred to as Subscription Fees. The Software is subject to annual Subscription Fees to operate the Software on more than one mobile device or computer or to gain access to enhanced features which include, without limitation: Importing / exporting records, synchronizing records to multiple devices or computers, restoring or backing up records and file storage.
Channel Partners, Mobile Operators & Resellers. You are responsible for reviewing the Fee Schedule from time to time and remaining aware of the fees charged by Secret Vault. The Fee Schedule, including subscription quantities and pricing, is subject to change at any time in Secret Vault 's sole discretion. Secret Vault will use good-faith efforts to notify you via email prior to effectuating any change to the Fee Schedule. If you receive special discounts through a Channel Partner or Value Added Reseller of the Software, those discounts may not be available if you cease to continue to be a customer of the Channel Partner or Value Added Reseller, in which case Secret Vault 's standard subscription fees will apply. Secret Vault may rely on information provided by the applicable Channel Partner or Value Added Reseller, if any, with respect to the status of your account.
Payment. As a condition for using Secret Vault, you must provide us with payment. Payment for Software shall be made by a valid credit card, debit card or charge card (collectively referred to as "Charge Card") as accepted by Secret Vault and having sufficient payment to cover the Subscription Fees, as charged to you. Payment methods such as check, wire transfer or other trade format must be negotiated directly with and approved by Secret Vault. Secret Vault reserves the right to auto-bill and charge you for recurring Subscription Fees.
Invalid or Cancelled Payments. In the event that you cancel your Charge Card or it is otherwise terminated, you must immediately provide us with a new, valid Charge Card number. You authorize us from time to time, to undertake steps to determine whether the Charge Card number you have provided to us is a valid number. In the event that you do not provide us with a current valid Charge Card number with sufficient credit upon request during the effective period of this Agreement, you will be in violation of this Agreement and we may terminate this Agreement with you. In the event that you provide us with a debit card number instead of a credit card number, you authorize us to make all charges described in this Agreement to your debit card account. If the annual payment option is selected or if you have previously provided your Charge Card for payment, you hereby authorize Secret Vault to charge your card for such amounts on a regular monthly or annual basis at the beginning of each billing cycle. If Secret Vault is for any reason unable to effect automatic payment via your Charge Card, Secret Vault will attempt to notify you via email and your Secret Vault account will be disabled until payment is received.
Pricing Changes. Secret Vault may change the pricing of its products at anytime. Pricing changes will be published on Secret Vault 's website or in third-party application stores. All fees and charges incurred in connection with your username and password will be billed to the payment method designated during the registration process. You are responsible for any fees or charges incurred to access the Secret Vault website through an Internet access provider or third-party service.
